Breach of employee contract claim Following the departure of a disgruntled employee, a large not-for-profit client received a breach of contract claim alleging fraud, financial mismanagement and adverse action by several employees. Within hours, Moores met with the CEO and Board to discuss the immediate response, risks and options. After devising a plan, Moores stepped in and provide peace of mind through comprehensive project support – from briefing the forensic investigator and advising on the findings, to providing behind-the-scenes support on disciplinary action, and defending claims by the employees. Following an after action review and presentation to the Board, Moores addressed key compliance gaps and risks by amending the client’s policies and embedding clearer financial delegations and approvals.
Compliance investigation This growing charity failed to keep pace with its expanding operations. As a result, they faced investigation by the Australian Charities and Not-for-profits Commission. Moores assisted in their response to the investigation. We worked alongside the charities, identified areas for improvement, provided governance training, updated the charity’s constitution and recommended changes to internal policies and procedures. The charity retained their registered charity status and was able to keep providing support to rural families.
Rules and Constitution Update New faces on the board and a new CEO meant this medium sized charity wanted to ensure its governing document was up to date. Moores identified changes in legislation, government funding guidelines and a new regulator that meant it was time for a significant rewrite. Beyond legal compliance, we worked with the Board to ensure that the document was tailored to their organisation’s unique needs and supported best practice governance. As the organisation had a broad membership base, Moores assisted with strategic communications to ensure that members could understand easily the key changes being made and the rationale for those changes.
Complex Restructure With a number of unincorporated entities operating under a single incorporated body, this large organisation faced regulatory and governance challenges arising from its complex, multi-layered structure. Moores critically assessed the organisation’s numerous governing documents, operations and regulatory environment, providing a detailed report and presentation exploring options to improve the structure. These options were workshopped with key stakeholders to identify a path forward and plan for implementation.
Charity launchpad A desire to make a difference motivated this group of individuals to get in touch with Moores about their proposed not-for-profit venture. We helped them identify a tax-effective structure and develop a governing document that was flexible enough to grow with their organisation. Dealing with multiple regulators, Moores incorporated the entity, obtained registration as a charity and all relevant tax concessions. As the inaugural Board had not governed a charity before, Moores provided tailored training and Board handbooks to help them to understand their role and governance responsibilities.
